How do you choose the right distributor in Egypt?

Choosing a distributor in Egypt is also choosing who files and maintains your EDA registration, so check five things before you sign: its importer and EDA licences; how your registration will be held and what happens to it at the end; whether the contract makes it a distributor or a commercial agent (agents get termination compensation that cannot be waived); its real reach into private hospitals, labs and UPA tenders; and how it will pay you in hard currency. Distributor or agent — why does the word matter in Egypt?

A distributor buys your goods and resells them for its own account. An agent sells for your account and earns a commission; in Egypt agents must be on the Commercial Agents Register and gain statutory compensation if you end or do not renew the relationship, and that protection cannot be waived by contract (Fox Williams). An arrangement called 'distribution' that works like an agency can be re-characterised, so the title, the payment mechanics and the documents must agree.

What happens to my registration if we part?

EDA has no procedure for moving a registration between companies. A new importer files a new registration and, with a notarised contract with you and your letter ending the old relationship, can import for one year from file acceptance while the new file is processed (EDA import guideline). The commercial terms of parting — notice, costs, stock and open tenders — are whatever your agreement says, so read that clause first.

Should the registration be held by someone other than the seller?

Some manufacturers use an independent scientific office to hold registrations and appoint a separate seller. It gives flexibility but adds a party, a cost and a hand-off between registration and sales. Weigh it against having one partner that registers and sells.
